The following are links to the documents relating to the Assignment for the Benefit of Mouth Foods, Inc.

Please be advised that on May 21, 2018, Mouth Foods, Inc. (the “Company” or “Mouth”) entered into an Assignment for the Benefit of Creditors (“Assignment”) and appointed MFI (assignment for the benefit of creditors), LLC as assignee (“Assignee”) of the Mouth assignment estate (the “Assignment Estate”).  An Assignment is an insolvency proceeding that is commenced under state law.  Here, the Mouth Assignment was initiated under Delaware state law pursuant to Delaware Code Title 10, Chapter 73, sections 7381 through 7387.

Please note that the Assignee is a Delaware limited liability company and is not affiliated with the Company.  The Assignee is a special purpose entity established to liquidate the assets of the Company, compile claims, and distribute proceeds, if any, to creditors according to the priority established in under the Delaware Code and other applicable laws.  Please also note that with the exception of the relationship created by the Assignment, the Company and Assignee have no corporate affiliations to each other.

Following the Assignment, on July 6, 2018, the Assignee sold certain assets including intellectual property (the “Acquired Assets”) to an undisclosed entity (the “Buyer”). The Buyer did not assume any liabilities as part of its purchase of the Acquired Assets from Mouth. All liabilities related to Mouth as of the Assignment date are “Retained Liabilities” of the Assignee to be addressed through the Assignment process as described below and via the embedded links.

In connection with the Assignee’s administration of the Assignment Estate, creditors will be notified by written notice within 30 days of the Assignment.  This notice will outline the process by which creditors may file a proof of claim in an effort to recover any amounts due for outstanding obligations that the Company may have owed and includes a link to an automated claim filing site www.proofofclaims.com/mfi.  A copy of the notice is included on this web site for your information, and the deadline to file a claim is approximately 180 days from the date of the Assignment.

The Assignee continues to monetize any remaining assets of the Company and will compile all claims of creditors and distribute recoveries, if any, on a pro-rata basis to creditors based on each claim’s priority following the filing deadline (as described herein).
